Board Shareholder Relations Committee Report

The Committee monitored shareholder engagements of the Bank, addressing their concerns, questions and suggestions while reviewing shareholder proposals and resolutions to coordinate responses or further actions to address shareholder interests.

FORMATION OF THE COMMITTEE

Sampath Bank, being the first listed entity in Sri Lanka to establish a Board Shareholder Relations Committee (BSRC) pursuant to the Board Meeting held on 28th August 2008, demonstrated its commitment to strengthen shareholders' confidence in the Bank's governance by fostering transparency, trust and effective communication between the Board and the Shareholders.

KEY ACTIVITIES IN 2024
  • The Bank distributed a cash dividend of Rs 5.85 per share, upon obtaining the approval of the shareholders at 38th Annual General Meeting.
  • The Committee also took into consideration, the suggestions made by shareholders to enhance the customer service aspects and addressed the issues raised by shareholders, aiming to maintain a strong, positive relationship.
KEY RESPONSIBILITIES OF THE COMMITTEE
  • Providing suggestions to the Board to improve Shareholder/Investor relations of the Bank.
  • Presenting Shareholder/Investor feedback to the management and to the Board.
  • Providing guidance to the Board on matters of Shareholder/Investor relations.
  • Performing any other activity within the scope of Shareholder/Investor related functions that is deemed by the Committee to be required which will serve to enhance its or the Shareholder/Investor function's effectiveness and efficiency.
  • Reviewing the Terms of Reference of the Committee periodically and ensuring that it reflects the best practices of the industry at all times.
REPORTING TO THE BOARD

The minutes of the Committee meetings were tabled at Board meetings, thereby providing the Board members with access to the deliberations of the Committee.

PERFORMANCE EVALUATION OF THE COMMITTEE

The annual self-evaluation of the Committee was conducted at the year-end by the members of the Committee. The results were discussed at the Committee with, where necessary, areas for improvement being identified and the plans for improvement being communicated to the Board.
